Terms and Conditions - TVS MotoSoul 2024

Thank you for your interest in the Event offered by TVS Motor Company Limited ("TVS", "we" or "us" which terms include the affiliates, parents, and subsidiaries of TVS Motor Company Limited). These terms and conditions govern your participation in the Event. By participating in the Event, you agree to be bound by these terms and conditions.

DESCRIPTION OF THE EVENT:

• By participating in the TVS Motosoul Event, hereinafter referred to as the "Event”, you will be entitled to the following benefits:

• The event is called “MotoSoul” which is a flagship event from the TVS, to connect with TVS vehicle owners and motorcycle enthusiasts (hereinafter the 'Customers) across the globe wherein the customers will get an opportunity to indulge into first-hand experience of interacting with TVSM's employees and representatives and TVSM will get a platform to create a joyous, powerful and memorable experience for its customers. The Event will be held at Vagator, Goa and is a two-day event which shall start on 8th of December 20243 and shall conclude by 9th of December 20243 (hereinafter the 'Event Duration').

EVENT LIMITATION

Event participation is subject to limitations, including but not limited to the following:

• Entry into the Event shall be upon the purchase of a valid ticket.
• Each ticket admits one person only.
• A ticket shall not be a valid ticket if the barcode or hologram has been tampered with.
• Tickets once booked cannot be exchanged or refunded.
• Unlawful resale (or attempted unlawful resale) of a ticket would lead to seizure or cancellation of that ticket without refund or other compensation.
• Duplicate tickets will not be issued for lost or stolen tickets.
• This is a wristband access festival. In case wristbands are taken off, a replacement wristband will not be issued.
• Wristbands removed or tampered with will be rendered invalid and WILL NOT be replaced.
• Alcohol will be served to guests who are above the legal drinking age (LDA) and on displaying valid age proof. LDA bands will be provided at the venue on proof of age.
• Artist line-up and billed attractions are subject to change.
• There is NO storage facility available at the Event.
• Consumption and sale of illegal substances are strictly prohibited.
• Arms, ammunition, and other prohibited articles are not allowed inside the Event premises.
• Outside food, bottled water, beverages, and alcohol are not allowed inside the Event premises.
• Persons suspected of carrying items that may be used in an offensive or dangerous manner or carrying out illegal activities within the site may be searched and removed from the premise.
• Internet handling fee per ticket may be levied. Please check your total amount before payment.

RIGHTS OF TVS

• TVS reserve the right to perform security checks on invitees/members of the audience at the entry point for security reasons.
• The event is subject to government permission. In case the permissions are not granted, and the event is cancelled, a full refund shall be immediately issued to all patrons who registered through TVS Connect platform and TVS MotoSoul website. NO Refund shall be applicable in case of any rescheduling.
• TVS or any of its agents, officers, or employees shall not be responsible for any injury, damage, theft, losses, or cost suffered at or as a result of the event of any part of it.
• Parking near or at the Event premises is at the risk of the vehicle owner. TVS will not hold responsibility for any damage or theft of any vehicles within the stipulated parking premises of the festival.
• TVS are not responsible for any negative effects of food items or drinks consumed in the venue by festival guests; TVS encourages guests to drink responsibly and in moderation.
• The holder of each ticket hereby grants TVS the right to use, in perpetuity, all or any part of the recording of any tape made of the holder's appearance on any channel for broadcast in any and all media globally and for advertising, publicity and promotion relating hereto.
• First aid/medical facilities will be provided, however, TVS do not take any responsibility for any problems arising.
• TVS reserve the right to refuse admission to anyone who is found to be in breach of these terms and conditions including ejecting the holder/s of the ticket from the Event premise after they have entered the ground, without refund or other recourse.

Important Disclaimer:

• Possession, sale and dealing in Narcotics Drugs and Psychotropic substances attract stringent punishments under the Narcotics Drugs and Psychotropic Substances Act, 1985 which ranges from 6 months up to 20 years imprisonment and fine up to Rupees Two Lakhs.
• Consumption of the narcotic drug or psychotropic substance (cocaine, morphine, diacetylmorphine, or any other narcotic drug) or any psychotropic substance is liable for rigorous imprisonment for a term which may extend to one year, or with fine which may extend to Twenty Thousand rupees; or with both under NDPS Act, 1985.

YOUR RESPONSIBILITIES

• Compliance with these Terms- You are responsible for your own compliance with these Terms and Conditions.
• Accurate information- When you enter into this Event you must provide accurate and complete information; You are required to keep your details confidential, secure and not disclose it to anyone; Please contact our support team at customercare@tvsmotor.com immediately in the event you come to know of any breach of security.

PRIVACY

• The personal information collected during the referral process will be used in accordance with TVS privacy policy and will not be shared with third parties without consent.

INDEMNIFICATION

• You agree to indemnify and hold harmless us, and each of our Service Partners, and each of our or their respective affiliates, officers, directors, agents, partners and employees, from and against any and all liabilities, settlements, penalties, claims, causes of action, and demands in case of withdrawal of this Event which is a voluntary initiative of TVS.
• 6.2 You agree that the indemnities in these Terms and Condition will survive even after your access, terminated or ended.

• Any notice we send you will be sent to your last known address or electronic mail address as shown on our records. It is your sole responsibility to ensure that we have the most up-to-date and accurate contact information for you at all times. Any written notice from us will be considered given when we send it by email to the email address you have provided to us that is then in our records, or two days after we mail it to you at the most address, we have on file for you.
• Calls with our customer service representatives, emergency personnel or our service partners may be monitored or recorded for quality assurance, issue resolution, maintaining service, training, or promoting or providing services.

MISCELLANEOUS

• Dispute resolution- In the event of any disputes between us, we will first try to resolve it by talking with each other. If we are unsuccessful in resolving our disputes in this manner within a reasonable time period of 30 days, all disputes, differences, claims, controversies and the like, which may arise between the parties to this Terms and conditions or any other agreement or document in relation to this, including construction, meaning or operation or effect of this Agreement or breach thereof, shall be referred to arbitration of a sole arbitrator to be nominated by the MCCI Arbitration, Mediation and Conciliation Centre (MAMC), The Madras Chamber of Commerce and Industry, 'Karumuttu Centre', First Floor, No. 634, Anna Salai, Nandanam, Chennai - 600 035, at the request of the authorised signatory of either Parties, as the case may be, and such arbitration shall be conducted in accordance with the provisions of the Arbitration and Conciliation Act, 1996, or its statutory amendments, and in accordance with the MAMC's Rules of Arbitration and Conciliation or its amendments, in English language, and the seat of arbitration shall be in Hosur; the venue of arbitration shall be as per the choice of the MAMC-appointed arbitrator. The Award passed by the Arbitrator shall be final and binding on both the Parties.
• Governing laws- This Terms and Conditions and any disputes will be governed by the laws of the Republic of India.
• Entire agreement- These Terms and Conditions (including the privacy statement and any other document or policy incorporated by these terms) constitute the entire agreement between you and us. It supersedes all other agreements, communications or representations, oral or written, between us, past or present. We are not responsible for any statements, agreements, representations, warranties or covenants, oral or written, including, without limitation, any statements from third parties, concerning or relating to the equipment or the use of the Application provided to you pursuant to these Terms and Conditions, unless such statements, agreements, representations warranties or covenants are expressly contained in or incorporate by these Terms and Conditions. You cannot rely on any other documents or statements on those subjects.
• Waiver: Severability- No waiver of any part of these Terms and Conditions, or of any breach of it, in any one instance will require us or will be deemed to waive any other instance or breach. If any part of these Terms and Conditions is declared invalid or unenforceable, all other parts of these Terms and Conditions are still valid and enforceable.
• Relationship between the parties- you and TVS are and at all times shall be, independent in all matters relating to these Terms. Neither these Terms nor the cooperation of the parties contemplated under this agreement will be deemed or construed to create any partnership, joint venture and employer-employee or principal-agent relationship between you and us or between you and any of our Service Partners.
